Company Name Reservation
We can arrange for the reservation, or extension of reservation, of a company name with the Australian Securities and Investments Commission for use in the future
incorporation of a proposed company.
Company Formations
Incorporation of proprietary limited companies, with your choice of name (subject to availability) and with initial directors and shareholders as indicated by you.
Companies ordered before 3.00 pm will be incorporated on the day of order, and the company register will be dispatched to you within 24 hours of order.
The Company Register is presented in a quality 4-ring binder and includes:
- Certificate of Incorporation
- Constitution – 4 copies (3 bound, 1 unbound)
- All consents to act for signing by officers of the company
- Share Applications for signing by initial shareholders
- Share Certificates for initial shareholders

- Members’ Minutes
- Register of Members

Discretionary Trust Deeds
Our quality discretionary (or family) trust deed, prepared by arrangement with our solicitors has been carefully drafted to provide for maximum flexibility. It is presented
for signing in a quality 4-ring binder. Three bound copies of the deed are provided for signing, with a further unbound copy provided in the Trust Register for your records.
The Trust Register also includes sections for:
- Correspondence
- Register of Beneficiaries
- Statutory Returns
Unit Trust Deeds
Our unit trust deeds, also prepared by arrangement with our solicitors can be utilised as either single-class or multi class deeds, depending on your needs. Like the discretionary
trust deed, it is presented for signing in a quality 4-ring binder with three bound copies of the deed for signing, together with a further unbound copy in the Trust Register for your records.
Unit Applications and Certificates are provided in the Trust Register, which also includes sections for:
- Correspondence
- Register of Beneficiaries/Unitholders
- Statutory Returns
Partnership Agreements
Our solicitors have prepared a partnership agreement for use in business partnership situations. Five copies of the agreement are provided, with the aim of the agreement
to provide for maximum taxation flexibility and straightforward dissolution in the event of cessation of the partnership.
Company Change of Name
All necessary minutes/resolution documentation will be prepared and ASIC documents prepared and lodged to effect change of company name.
Company Single Director Conversion
We will provide all necessary minutes/resolutions for the conversion of an existing proprietary limited company which is not authorised to have a sole
director to a single director company. A replacement constitution (3 bound copies and one unbound copy) will also be provided, together with relevant forms for lodgement with ASIC.
Company Deregistration
Deregistration of the company will be commenced with the preparation and lodgement of relevant forms with ASIC.
